1. Acceptance and Binding Effect

These Terms and Conditions govern access to and use of Simplebks. By browsing our website, creating an account, subscribing, using a workspace, accessing our mobile or web applications, using a free business tool, or accessing any related Simplebks surface, you agree to these Terms together with our Privacy Policy, Cookies Policy, Acceptable Use Policy, and Billing, Cancellation and Refund Policy.

If you use the service on behalf of a business, employer, or other organization, you represent that you have authority to bind that organization to these Terms.

2. Description of the Service

Simplebks is business operating software that may include bookkeeping, accounting, invoices, quotations, inventory, reporting, tax workflow tools, point-of-sale, multi-business and multi-branch management, production, project accounting, audit history, support tools, mobile workflows, integrations, free tools, and AI-assisted features.

We may improve, redesign, add, remove, suspend, or replace features, limits, integrations, workflows, or user experiences as part of normal product development, security work, or commercial operations.

3. Eligibility and Registration

  • You must provide accurate registration and billing information and keep it reasonably current.
  • You are responsible for safeguarding passwords, session access, devices, verification methods, API keys, and staff credentials connected to your workspace.
  • You must promptly notify us if you believe there has been unauthorized access, suspicious activity, or account compromise.

4. Account Owners, Team Members, and Permissions

Workspace owners and administrators are responsible for inviting users, setting roles, managing branch access, reviewing permissions, and controlling who can access business records, POS functions, reporting, billing, and sensitive settings.

Actions taken by authorized users within your workspace are treated as actions of your organization unless clearly caused by a defect or unauthorized intrusion attributable to Simplebks.

5. Customer Data and Business Records

You remain responsible for the legality, accuracy, completeness, and integrity of the information you upload, generate, or process in Simplebks. This includes invoices, quotations, contacts, inventory records, POS records, tax values, journal entries, reports, uploaded documents, imported files, and other business content.

Simplebks provides tools and workflows, but you remain responsible for reviewing outputs and ensuring that your accounting, operational controls, tax handling, inventory records, and statutory obligations are correct for your specific business.

6. Subscriptions, Plans, and Feature Access

Some features are available only on paid plans or specific plan tiers. Fees, billing periods, limits, support scope, feature access, user allowances, outlet allowances, and related entitlements depend on the plan, quote, or commercial arrangement you accept.

7. Trials, Beta Features, and Promotional Access

We may offer trials, pilots, early-access features, beta experiences, discounts, or temporary promotional access. These may be limited, experimental, subject to extra restrictions, or withdrawn at our discretion.

8. Taxes, Compliance, and Professional Judgment

Simplebks may include tax calculations, compliance reports, defaults, reminders, and workflow guidance, but the service does not replace professional accounting, tax, audit, or legal advice. You remain responsible for determining whether records, tax treatments, remittances, invoices, reports, and filings are correct for your facts and jurisdiction.

9. Integrations and Third-Party Services

Some product functions depend on third-party services such as payment processors, calendars, analytics tools, support systems, AI providers, bank-related services, email-related services, or identity services. Your use of those services may be governed by separate terms and privacy notices.

We are not responsible for service interruptions, data formats, pricing changes, or other actions of third-party services outside our reasonable control.

10. AI-Assisted and Automated Features

Simplebks may provide AI-assisted summaries, search, help, automation, suggestions, or assistant-style experiences. AI or automation output may be incomplete, outdated, or inaccurate and must be reviewed by a human before being relied upon for legal, tax, accounting, inventory, financial, or operational decisions.

11. Acceptable Use

You must use the service lawfully, responsibly, and in accordance with our Acceptable Use Policy. You may not misuse the service, circumvent controls, abuse integrations, overload the platform, attempt unauthorized access, or use the service to support unlawful conduct.

12. Intellectual Property

Simplebks, its software, interfaces, branding, documentation, visual assets, product design, and underlying materials are owned by us or our licensors and are protected by applicable intellectual property laws. Except for the limited right to use the service under these Terms, no ownership rights are transferred to you.

You retain rights in the content and business data you submit, subject to the limited rights we require to host, transmit, process, secure, display, back up, and support that content in order to operate the service.

13. Confidentiality and Security

We use reasonable measures designed to protect non-public customer data. You also agree to use reasonable care to protect non-public information you access through the service, including confidential business records, pricing, and internal platform information.

14. Availability, Maintenance, and Support

We aim to provide a reliable service, but we do not promise uninterrupted, error-free, or always-available performance. Planned maintenance, upgrades, infrastructure issues, security events, third-party failures, misuse investigations, and force majeure events may affect availability.

15. Suspension and Termination

We may suspend, restrict, or terminate access where we reasonably believe that you breached these Terms or our policies, created security risk, misused the service, failed to pay amounts due, or exposed the platform, us, or other users to material risk.

You may stop using the service at any time. Termination or suspension does not erase obligations that by their nature should survive, including payment duties, policy obligations, audit-related issues, confidentiality, intellectual property, and dispute provisions.

16. Export and Post-Termination Responsibility

You are responsible for exporting or retaining any business records you may independently need, especially before account closure, subscription lapse, or workspace deactivation. Continued storage or restoration after termination may be limited by operational, contractual, legal, or backup constraints.

17. Warranties Disclaimer

Except where prohibited by law or expressly agreed in writing, the service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

18. Limitation of Liability

To the fullest extent permitted by law, Simplebks will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profit, goodwill, revenue, data, or business opportunity arising from or related to use of the service.

Where a monetary liability cap is permitted by law, our aggregate liability for claims arising out of or relating to the service will not exceed the fees paid by you to Simplebks for the affected service during the twelve months immediately preceding the event giving rise to the claim.

19. Indemnity

You agree to indemnify and hold harmless Simplebks, its affiliates, officers, employees, and agents from claims, losses, liabilities, damages, and costs arising from your misuse of the service, your content, your unlawful conduct, your violation of the rights of others, or your breach of these Terms.

20. Governing Law and Disputes

These Terms are governed by the laws applicable to our service operations in Nigeria unless mandatory law requires otherwise for a specific issue. Before starting formal proceedings, both sides agree to attempt good-faith resolution by contacting [email protected].

21. Changes to These Terms

We may update these Terms from time to time. If changes are material, we may update the effective date, publish revised Terms, and use other reasonable notice methods. Continued use after updated Terms become effective means you accept the revised Terms.
